These Sponsorship Terms & Conditions (“Agreement”) apply to all sponsors (“Sponsor”) participating in tournaments, including the Monster Mash Tournament (“Event”), hosted by Heights Athletic Club (“Organizer”). By submitting payment or otherwise agreeing to sponsor the Event, Sponsor agrees to these terms.
1. Sponsorship Levels & Benefits
Sponsor shall receive the benefits associated with the selected sponsorship level as described in the Sponsorship Package provided by Organizer. Sponsor acknowledges that benefits are subject to change due to circumstances beyond Organizer’s control (e.g., weather, facility changes). Organizer will make reasonable efforts to deliver substantially similar benefits if changes occur.
2. Payment Terms
Sponsorship fees are due in full at the time of commitment unless otherwise agreed in writing. Sponsor benefits will not be activated (e.g., signage production, logo inclusion) until payment is received.
3. Logos, Artwork, and Materials
Sponsor shall provide all required logos, artwork, and promotional materials in the format specified by Organizer by the stated deadline. Organizer is not responsible for missed deadlines resulting in reduced sponsorship exposure (e.g., missing banners, unprinted materials).
4. Team Entries
Some sponsorship levels include complimentary team entries. Team entries must be redeemed by the tournament registration deadline and are non-transferable to future events unless approved by Organizer in writing.
5. Cancellation Policy
Sponsor Cancellation: Sponsorship fees are non-refundable once accepted, except in cases where Organizer cancels the Event and no substantially similar substitute event is offered.
Organizer Cancellation: If the Event is cancelled due to weather, facility issues, or other circumstances beyond Organizer’s control, Organizer will make reasonable efforts to reschedule or offer comparable sponsorship benefits at a future event.
6. Sponsor Conduct & Representation
Sponsor agrees that all booth activities, signage, and conduct at the Event will be professional, family-friendly, and in compliance with Organizer’s rules and local laws. Organizer reserves the right to remove any signage or materials deemed inappropriate or offensive.
7. Intellectual Property & Publicity
Sponsor grants Organizer a non-exclusive, royalty-free license to use Sponsor’s name, logo, and trademarks in Event marketing, communications, and social media in connection with the sponsorship. Sponsor may reference its sponsorship in its own marketing materials.
8. Liability & Indemnification
Sponsor participates in the Event at its own risk. Organizer is not responsible for loss, theft, or damage to Sponsor property. Sponsor agrees to indemnify, defend, and hold harmless Organizer, its officers, employees, volunteers, and agents from any claims, damages, or liabilities arising from Sponsor’s participation in the Event.
9. No Partnership or Endorsement
Sponsorship does not constitute an endorsement by Organizer of Sponsor’s products or services and does not create a joint venture, partnership, or agency relationship between the parties.
10. Miscellaneous
This Agreement represents the entire understanding between Sponsor and Organizer regarding the sponsorship. No oral modifications are binding unless confirmed in writing by both parties.
